Member Bylaws

CONSTITUTION

1.0 The name of the Society, established under the Society Act of the Province of British Columbia, is Sidney Lawn Bowling Club.

1.1 The purposes of the Club are;

1.1.1 To initiate, promote, encourage and facilitate member participation in the sport of lawn bowling.

1.1.2 To Provide and maintain facilities for recreational activities of the members of the Society and their guests and to provide for and sponsor such activities.

SIDNEY LAWN BOWLING CLUB BYLAWS

1.0 Former Constitutional Provisions

1.1 Upon winding up or dissolution of the Society, the assets which remain after payment of loans, costs, charges and expenses which are properly incurred in the winding up shall be distributed to such charitable organizations having a similar charitable purpose. This provision shall be unalterable.

2.0 Constitution and Bylaws

2.1 The Constitution and the Bylaws shall not be amended except by Special Resolution.

3.0 Club Policy and Procedures

3.1 The Board of Directors shall promulgate Club Policy and Procedures, the provisions of which carry the same authority as Club Bylaws and may, from time to time and where not otherwise specified in the document, be amended by the majority vote of the Board of Directors. Amendments for sections identified in the document as requiring a higher threshold of approval shall be presented to a General Meeting for ratification by Special Resolution requiring a 2/3 vote by voting members in attendance.

3.2 The Secretary is responsible to ensure Club Policy and Procedures is up to date and accessible to members.

4.0 Membership

4.1 A person may apply for membership in the Club and on acceptance by the Board of Directors shall be a member.

4.2 A register of members shall be maintained on a current basis by the Board of Directors.

4.3 There shall be categories of membership with an accompanying fee schedule kept current and published in Club Policy and Procedures.

4.4 Members shall enjoy the privileges of the club appropriate to their category of membership as detailed in Club Policy and Procedures.

4.5 Every member shall uphold the Constitution and comply with Club Bylaws and Club Policy and Procedures.

4.6 A person shall cease to be a member of the Club on their request or when they cease to be in good standing.

4.7 Otherwise, a person shall cease to be a member of the Club on being expelled by Special Resolution supported by a 2/3 vote by the voting members attending a General Meeting. The person who is the subject of the proposed expulsion must be given an opportunity to be heard at the General Meeting before a vote is held.

4.8 A member is in good standing when the member is current in all financial obligations to the Club and ceases to be in good standing when annual membership fees are more than two months in arrears.

4.9 The number of members in any or all membership categories may be limited by Ordinary Resolution at a General Meeting.

5.0 Meetings of Members

5.1 General Meetings of the Club shall be held in accordance with the B.C. Societies Act and the provisions of Club Policy and Procedures.

5.2 The calling of a General Meeting shall comply with the requirements contained in Club Policy and Procedures.

5.3 The quorum for a General Meeting is established in Club Policy and Procedures.

5.4 The proceedings of a General Meeting shall be in accordance with Club Policy and Procedures.

5.5 The club secretary shall prepare and have custody of all Minutes.

5.6 Voting at General Meetings shall be by show of hands or, in those circumstances described in Club Policy and Procedures, by ballot.

5.7 Voting by proxy is not permitted.

5.8 Electronic participation in meetings may be restricted by provisions of Club Policy and Procedures.

6.0 Board of Directors

6.1 There shall be a minimum of three directors elected yearly at the Annual General Meeting who shall hold office until the next Annual General Meeting and who shall be eligible for re-election.

6.2 Additional directors may be elected at a General Meeting or be appointed in accordance with Club Policy and Procedures. Directors not elected or appointed at a General Meeting they attended shall provide written consent.

6.3 No director shall be remunerated for being a director but may be reimbursed for necessary and reasonable expenses incurred while so engaged.

6.4 The management of the club shall be vested in the Board of Directors which shall govern the affairs of the club in accordance with the Constitution, Bylaws and Club Policy and Procedures.

6.5 Separate elections shall be held for each elected office to be filled and an election may be by acclamation, a show of hands or in those circumstances described in Club Policy and Procedures, by ballot.

6.6 The voting members of the club may by means of a Special Resolution remove a director prior to the completion of their term of office and elect a successor.

6.7 The indemnification of directors shall be in accordance with the Societies Act of B.C and Club Policy and Procedures.

7.0 Meetings of the Board

7.1 Board meetings shall be held as necessary to conduct the affairs of the club and a quorum shall be a majority of the directors.

7.2 Any club member may attend or be invited to attend a directors’ meeting on a non-voting basis.

7.4 The proceedings of a board meeting shall be in accordance with Club Policy and Procedures.

8.0 Committees

8.1 The Board of Directors may in accordance with Club Policy and Procedures establish committees of members to deliver the programs of the club.

8.2 No committee chairperson nor member shall be remunerated for being or acting in that capacity but may be reimbursed for valid expenses incurred on committee affairs.

9.0 Finance

9.1 The Club shall not be a reporting nor a member-funded society within the meaning of the B.C. Societies Act.

9.2 The financial year of the Society shall be in accordance with the dates established in Club Policy and Procedures.

9.3 A cheque or other document issued by or for the Club is not valid unless it meets the requirements of Club Policy and Procedures.

10.0 Borrowing and Spending

10.1 Spending restrictions shall be imposed on the Club and on individual directors as specified in Club Policy and Procedures.

10.2 In order to carry out the purposes of the Club the directors may, on behalf of and in the name of the Club, borrow money in the normal course of business in the manner they decide in keeping with the provisions of Club Policy and Procedures.

11.0 Financial Review

11.1 A member may be elected or appointed in accordance with Club Policy and Procedures to conduct an annual review of the club’s finances.
